Partner Program Terms

An active partner subscription grants you a limited, non-exclusive, non-transferable license to use the Vacsil Partner Platform — running assessments, generating reports and certificates, using your partner portal, and (where your plan includes it) embedding the customer assessment experience — for your own business, while your subscription remains active and in good standing.

Vacsil retains all ownership of its technology and intellectual property, including without limitation:

• the Headlight Health Assessment methodology and eight-condition assessment framework;
• the Headlight Health Score™ methodology, scoring logic, and analysis process;
• the report-generation system, report structure, and certificate formats;
• all software, algorithms, models, prompts, platform design, and underlying technology;
• all improvements and updates to any of the above, whenever released.

Your subscription buys use of the platform — never ownership of any part of it.

Where your plan includes white-label features, white-labeling changes the customer-facing branding only. It does not:

• transfer ownership of the software, assessment methodology, or scoring system;
• permit resale of the platform unless separately authorized in writing;
• permit sublicensing, copying, scraping, or reverse engineering;
• permit you to claim ownership of the underlying Vacsil technology.

Vacsil may remain identified in administrative areas, legal documents, account settings, and billing records. If your plan does not include white-label features, required Vacsil attribution (including “Powered by Vacsil Inspect™”) may not be removed, concealed, replaced, or modified. White-label presentation ends when the subscription that includes it ends.

• Each plan includes a monthly assessment allowance. When it and any purchased credits are used up, assessments pause — you are never automatically charged for overage. Top up, upgrade, or wait for your cycle to renew.
• Credit packs are one-time purchases and do not auto-renew. Each credit covers one complete assessment (a two-headlight assessment is one credit).
• Purchased credits have no cash value, are not refundable after use, are not transferable between unrelated accounts, and may carry an expiry stated at purchase.
• An active eligible subscription is required to use credits. If your subscription ends, unused purchased credits remain on your account and become usable again when an eligible subscription is active.
• A technical failure never consumes a credit — credits are charged only when a report is successfully generated. Re-opening, viewing, emailing, or sharing an existing report is always free. New photos submitted for new analysis are a new assessment.
• Upgrades take effect immediately (prorated by our payment processor); downgrades take effect at the end of the paid period. Cancel anytime — access continues through the period you paid for.

Leads and customers captured through your assessments are yours. Vacsil does not market to them. You can export your leads at any time from your portal. You are responsible for using customer information lawfully, including honoring consent and unsubscribe requests.

• Assessments evaluate cosmetic condition from a photo — appearance only, never roadworthiness, safety, or mechanical condition. You may not present them otherwise.
• Reports and scores may not be altered, misquoted, or fabricated. Certificates of Completed Work may only be issued for work actually completed.
• The free public checker on vacsil.com is for consumers — running your business’s scans through it instead of your plan is a violation.

Where your plan includes report emails, they are sent from Vacsil’s sending address with your business name as the sender name and replies directed to you. Sends are limited to the customer on the report. Abuse (spam complaints, misleading content) may result in the feature being disabled for your account.

Vacsil may suspend an account that violates these terms; suspension blocks the portal and assessments while preserving your data. On termination or non-payment, white-label presentation, report generation, and certificate issuance stop; previously issued report and certificate links may be disabled for accounts terminated for cause.

The platform is provided “as is.” AI assessments are automated estimates from photographs and do not replace professional in-person inspection. To the fullest extent permitted by law, Vacsil’s total liability arising from the partner program is limited to the amounts you paid in the twelve months preceding the claim.
